Bankruptcy of a sole proprietorship: effects, filing, options

In short
When a sole proprietorship goes bankrupt, your private assets are also seized, because you and your business are legally the same person. Creditors can still collect any debt remaining afterwards. Filing for your own bankruptcy involves no court fee and requires no lawyer. Statutory debt restructuring (Wsnp) usually lasts 18 months and can end with a clean slate.
- Conditions for your own petition: stopped paying and at least two creditors, with one debt due.
- With any community of property, your spouse or registered partner must co-sign.
- After bankruptcy, remaining debts continue to exist; only the Wsnp can lead to a clean slate.
- In the Wsnp the court usually decides that you must end your sole proprietorship.
A sole proprietorship cannot go bankrupt separately from you, because legally you and your business are the same person. If you are declared bankrupt, your private assets are included and you immediately lose control over your money and possessions. In addition, debts that remain afterwards simply continue to exist. That is why bankruptcy is by no means always the best way out for a freelancer. In this article you will read what happens, how filing works and which alternatives to look at first.
What are the consequences of bankruptcy?
Because you are personally liable with a sole proprietorship, there is no separation between business and private. The moment the court declares you bankrupt, these consequences apply immediately.
- All your possessions are seized, except for basic necessities. An owner-occupied home and the money in your private accounts can also be included.
- The court appoints a trustee. The trustee manages your assets, sells whatever can be sold and divides the proceeds among the creditors.
- All your post goes directly to the trustee.
- Your bankruptcy becomes public: it is listed in the Central Insolvency Register and published in the Government Gazette.
- Creditors may no longer seize assets themselves. They submit their claim to the trustee.
- Afterwards, creditors can still try to collect the rest of their claim from you. That is the big difference from a clean slate.
Bankruptcy or debt restructuring (Wsnp)?
As a natural person you have a second statutory route: the Debt Restructuring (Natural Persons) Act. The court also points this out in the summons for the hearing. The main difference is that the Wsnp can end with a clean slate.
| Aspect | Bankruptcy | Debt restructuring (Wsnp) |
|---|---|---|
| Aim | Selling and dividing assets | Repaying as much as possible, then moving on |
| Duration | Varies per case | Usually 18 months, longer in special cases |
| Supervision | Trustee and supervisory judge | Wsnp administrator and supervisory judge |
| Remaining debts | Continue to exist | Clean slate possible: no longer enforceable |
| Your sole proprietorship | Generally ends | Usually ends, sometimes you may continue |
Try first: an arrangement with creditors
Before the Wsnp comes the amicable route: through your municipality or a debt counsellor you try to reach an arrangement with all creditors. Only if that fails can you ask the court for admission. For debts to the tax authorities, being unable to pay tax sets out what is possible. It helps to have your figures in order at the start, see clearing a backlog.
Filing for your own bankruptcy: how it works
You may file for your own bankruptcy if you have stopped paying and have at least two debts with different creditors, at least one of which is due. A lawyer is not required, and you pay no court fee for your own petition.
- Complete the Own bankruptcy petition form on rechtspraak.nl with your DigiD. Choose the version for a natural person with a (former) business.
- Sign the form. With any community of property, your spouse or registered partner also signs.
- Send the form with the requested documents in duplicate to the court for your place of residence, or hand it in there.
- You receive a summons within a few days. The hearing is not public and is often on a Tuesday.
- The judge usually decides on the spot, otherwise generally within 1 or 2 weeks. If the petition is granted, you are bankrupt immediately.
When a creditor files for your bankruptcy
A creditor can also file for your bankruptcy, through a lawyer. The creditor pays a court fee: according to rechtspraak.nl € 341 as an individual, € 735 as an organisation and € 93 for those without means. If you submit a written defence, you pay the same fee yourself. If you receive such a summons, always attend the hearing. If you pay the claim before the ruling, or show that the conditions are not met, the judge can reject the petition.
What do you arrange with your administration?
The trustee wants to see your complete administration, so make sure it is complete and accessible. If you have staff, the trustee terminates the employment contracts and UWV can take over wages under certain conditions. Your retention obligation simply continues: it applies for seven years. How to close a business without bankruptcy is explained in stopping or pausing as a freelancer.
If you have a private limited company, the story is different: only the company goes bankrupt, although as a director you can be liable under certain conditions. See director's liability. Frequently asked questions
Are my debts gone after the bankruptcy of my sole proprietorship?
No. What the trustee cannot pay continues to exist, and creditors can try to collect it from you afterwards. Only the Wsnp can end with a clean slate.
What does filing for your own bankruptcy cost?
You pay no court fee for your own petition. A lawyer is not required; if you hire one, you pay for it yourself. You can sometimes receive a subsidy for this through the Legal Aid Board.
Can I convert my bankruptcy into debt restructuring?
That is possible in certain cases. You are also told about the option in the summons for the hearing. Discuss it as early as possible with your trustee or lawyer.
How long does the Wsnp last?
Usually 18 months. In special circumstances the court can extend this to a maximum of 5 years. Some debts, such as traffic fines and DUO student debts you do not yet have to repay, fall outside the clean slate.
May I start a business again after bankruptcy?
There is no general ban, but creditors can still recover outstanding debts from you. So first find a solution for the remainder. During the bankruptcy the trustee decides what happens to your income.
